Please read these Terms of Service ("Terms") carefully. These Terms govern your access to and use of the website www.defysystems.ai (the "Site") and the services, content, and products offered by RE-TRI CONSULTING INC ("Company," "we," "us," or "our").

By accessing or using the Site or any of our services, you agree to be bound by these Terms.

1. Acceptance of Terms

A. Eligibility

By using the Site, you represent and warrant that you are at least eighteen (18) years old and possess the legal capacity to enter into a binding agreement.

B. Applicability

These Terms apply to all users of the Site, including general visitors and registered clients who have purchased services.

2. Intellectual Property Rights

A. Company Ownership

The Site and all of its original content, features, and functionality (including text, graphics, logos, and proprietary methods) are owned by RE-TRI CONSULTING INC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

B. Client-Specific Deliverables

For custom AI automation projects that are purchased outright:

Client Ownership: Upon full and final payment, you will own the final custom automation code, data structures, and configuration specifically created for your project.

Company Retention: You acknowledge that you do not own the underlying tools, platforms (e.g., GoHighLevel), or any pre-existing proprietary frameworks, modules, or non-client-specific code utilized by RE-TRI CONSULTING INC to build the custom solution.

3. Financial and Payment Terms

A. Payment Obligation

All fees for services are due upon receipt of the invoice. Services may be billed on a monthly recurring basis (for web/phone agents) or on a project-by-project basis (for AI automation projects).

B. Refund and Cancellation Policy

Introductory Period: The first month of service may be subject to a specific guarantee, discount, or separate refund policy as outlined in your individual service agreement.

General Policy (Post-Introductory Period): All fees paid after the introductory period are non-refundable.

Cancellation: Monthly services may be canceled at any time. Cancellation will take effect at the end of the current billing cycle. No prorated refunds will be issued for any unused portion of a service month.

4. Disclaimers and Limitation of Liability

A. No Guarantee of Results

You understand and agree that RE-TRI CONSULTING INC is a consulting and service provider and does not promise or guarantee any specific results, revenue increases, or business outcomes from the use of the Site or our services. All advice and recommendations are provided "as is."

B. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall RE-TRI CONSULTING INC be liable for any indirect, punitive, incidental, special, or consequential damages arising out of, or in any way connected with, the use of the Site or the services.

If, notwithstanding the other provisions of these Terms, RE-TRI CONSULTING INC is found to be liable to you for any damage or loss, our liability shall at all times be limited to the total amount paid by you to RE-TRI CONSULTING INC in the three (3) months immediately preceding the event giving rise to the claim.

5. Governing Law and Dispute Resolution

A. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

B. Mandatory Dispute Resolution

Any controversy or claim arising out of or relating to these Terms, or the breach thereof, shall be settled by binding mediation and/or arbitration administered by a neutral third party in the State of Texas, rather than in court, except that you may assert claims in small claims court if your claims qualify.

6. General Provisions

A. Changes to Terms

We reserve the right to modify these Terms at any time. We will post the revised Terms with a new effective date on the Site. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms of Service.
